1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Property Management Associates, LLC ("Company," "we," "us," or "our") regarding your use of our website and property management services. Property Management Associates provides comprehensive property management services for homeowners associations (HOAs), including but not limited to:

  • Architectural Control Committee (ACC) management
  • Property inspections and compliance monitoring
  • Violation tracking and enforcement
  • Community website development and maintenance
  • AI-powered resident communication services
  • Financial management and reporting
  • Vendor management and coordination

3. User Responsibilities

By using our services, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Comply with all applicable HOA bylaws, covenants, and restrictions
  • Use our services only for lawful purposes

  • Not attempt to gain unauthorized access to any portion of our services
  • Respect the privacy and rights of other users and residents

4. HOA-Specific Terms

4.1 Authority and Compliance

Our services are provided in accordance with the governing documents of each HOA we serve. Users acknowledge that we act on behalf of the HOA board and must comply with all community rules, regulations, and governing documents.

4.2 Violation Reporting and Processing

When reporting violations or submitting applications, you certify that all information provided is true and accurate. False or malicious reports may result in penalties as determined by your HOA's governing documents.

4.3 Architectural Applications

Submission of architectural applications through our platform does not guarantee approval. All applications are subject to review according to your community's architectural guidelines and governing documents.

5. Payment Terms

5.1 HOA Dues and Assessments

Payment of HOA dues, assessments, and fees is governed by your community's governing documents. We facilitate payment processing but do not determine amounts or payment schedules.

5.2 Late Fees and Penalties

Late fees, penalties, and collection procedures are determined by your HOA's governing documents and applicable state law. We act as agents for the HOA in collecting these amounts.

5.3 Payment Processing

We use third-party payment processors to handle transactions. By providing payment information, you authorize us to charge the specified amounts according to your HOA's payment schedule.

6. Intellectual Property Rights

All content on our website and platform, including text, graphics, logos, images, and software, is the property of Property Management Associates or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

7. Privacy and Data Protection

Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection and use of your information as described in our Privacy Policy. We are committed to protecting your personal information and do not sell your data to third parties.

8. Disclaimers and Limitations of Liability

8.1 Service Availability

We strive to maintain continuous availability of our services but cannot guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 No Warranty

You agree to indemnify, defend, and hold harmless Property Management Associates, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of our services, violation of these Terms, or violation of any rights of another party.

10. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

10.2 Arbitration

Any dispute arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

10.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in a class action lawsuit or class-wide arbitration.

11. Termination
